The Story
Info Edge has appointed Himanshu Agarwal as chief financial officer, effective 17 September, following a board meeting on Monday. He joins the board as an Additional Director in the executive category and is proposed as Whole-time Director and CFO for five consecutive years to 16 September 2031, subject to shareholder and statutory approval.
Agarwal also becomes a member of the company's Risk Management Committee and its Business Responsibility and Sustainability Reporting Committee from the same date. Info Edge said he brings more than three decades of experience across finance leadership, corporate governance, mergers and acquisitions and business transformation, at listed organisations in India and internationally.
He succeeds Ambarish Raghuvanshi, who had served as interim CFO since 20 November 2025 and concludes that role at close of business on 16 September. Raghuvanshi stays on as Finance Advisor and Senior Management Personnel until 31 October to support the handover. The company credited him with providing continuity and stability through the interim period.
Separately, Info Edge has appointed Naresh Chand Gupta as an Additional Director, designated Non-Executive Independent Director for five years from 1 October 2026 to 30 September 2031, subject to shareholder approval.
Gupta is the former managing director of Adobe Systems India and previously served on the Info Edge board until 31 March 2023. He is currently a designated partner at Accuracap Technologies and chief scientist at Accuracap Consultancy Services, and sits as an independent director on the boards of eClerx Services and NoPaperForms Solutions. He has also previously been an independent director at Affle India, now Affle 3i.
Info Edge operates Naukri.com alongside 99acres, Jeevansathi and Shiksha, and holds investment positions in a portfolio of Indian technology companies.
Why It Matters
The duration is the detail worth pausing on.
Ambarish Raghuvanshi took the interim role on 20 November 2025. Agarwal takes over on 17 September 2026. That is close to ten months during which one of India's larger listed internet companies had no permanent chief financial officer.
Interim arrangements of that length are not typical. A company usually fills the position within a quarter or two, because the CFO signs the accounts, fronts the earnings calls and carries statutory responsibility. Running the role on an acting basis for the better part of a year usually means one of two things: the search proved difficult, or the specification was being reconsidered while it ran.
The structure of the appointment suggests the second. Agarwal does not simply become CFO. He joins the board as an Additional Director, is proposed as Whole-time Director for a five-year term, and takes seats on the risk management and sustainability reporting committees. That is a broader mandate than the role Raghuvanshi was holding, and a broader one than a conventional CFO appointment.
Info Edge has also structured the handover carefully, keeping Raghuvanshi on as Finance Advisor for six weeks past the transition date. For a company that has just spent ten months without permanence in the seat, the caution is understandable.
The Strategic Read
The other appointment is the more interesting one, because Info Edge has brought back a director it already had.
Naresh Chand Gupta sat on this board until March 2023 and returns from 1 October. Companies do not usually re-recruit former independent directors. Doing so means the board wanted a specific person rather than a specific profile, and was willing to reappoint someone whose fit it had already tested.
What that profile is matters given what Info Edge has become. The recruitment business is one part of it. The other is a portfolio of holdings in Indian technology companies, several of which are now listed or heading that way, which makes Info Edge as much an investment holding company as an operator. Valuing those positions, deciding when to sell, and explaining both to public shareholders is a finance and board problem rather than a product one.
Gupta's background is technology leadership and fund management, and he sits on the boards of eClerx and NoPaperForms. Agarwal's stated experience is finance leadership, governance and mergers and acquisitions. Neither is a recruitment industry appointment.
Read together, the two changes point at the same thing. Info Edge is staffing for capital allocation and portfolio management, not for jobs board growth. That is the honest description of where the value in the company now sits, and the board appears to agree.
The nine-month interim period is the loose end. A listed company of this size running without a permanent CFO for the best part of a year suggests the search was difficult or the specification changed during it. Either way, the five-year term attached to Agarwal's appointment reads as an attempt to close that question rather than revisit it.
